ARTICLE I. NAME
The name of this organization shall be The University Club.
ARTICLE II. PURPOSE
The purpose of the University Club shall be to further the social, educational, and intellectual well-being of the University Community. The Club shall:
(1) create opportunities for its members to meet regularly, both formally
and informally, thus providing for the interchange of ideas and information;
(2) work to promote a supportive and positive atmosphere at Western
Carolina University, thus intensifying our sense of community; and
(3) foster interaction between the University Community and its neighbors
thus enriching our environment and enhancing the quality of life within the locale.
ARTICLE III. MEMBERSHIP
There shall be two classes of membership in the University Club:Regular and Retired. Membership shall not be restricted on the basis of race, creed, age, color, sex, disability, sexual orientation, gender identity, or national origin.
ARTICLE IV. OFFICERS AND THEIR ELECTION
The officers of the University Club shall be President, President-Elect, Immediate Past President, Secretary, and Treasurer. Procedures for the Election of officers are specified in the Bylaws.
ARTICLE V. BOARD OF DIRECTORS
5.01. Composition. The Board of Directors shall consist of the elected officers,
Past President, and six (6) persons elected from the qualified membership.
5.02 Rules. The Board of Directors shall establish and publish the rules, regulations,
and policies of the University Club.
5.03 Authority. The Board of Directors shall have the authority to cancel the membership
of any person for non-payment of dues or other violations of the rules and regulations of the University Club.
ARTICLE VI. FISCAL CONTROL
Fiscal control of the University Club shall be vested in the Board of Directors.
ARTICLE VII. MEETINGS
The University Club shall hold an Annual Meeting in the Spring Semester, at such time and place as may be determined by the Board of Directors.
ARTICLE VIII. AMENDMENTS AND ADOPTION
8.01. Amendments. Amendments to this Constitution may be proposed in writing by any member of the University Club to the Board of Directors. Such amendment or amendments shall become a part of this Constitution when adopted by affirmative vote of three-fourths of the votes cast by mail/electronic mail ballot. A quorum for this purpose shall consist of one-third of the membership.
8.02. Adoption. This Constitution shall become effective and operative upon its adoption as provided in 8.01.
